Migrate Exchange Server 2010 to O365

Migrate Exchange Server 2010 to O365 - & also planning to shutdown old Exchange server?
I have a big network (around 120 users) Environment: existing 2008(R1) DC and Exchange 2010.
I am planning to migrate email to O365 and don't want to use directory sync with O365 at this stage because we will install a new server and create a new DC domain in coming months.
For the migration, I am planning to use third party tool as I want to do it as soon as possible or I just export mailboxes and archives to PST and upload to office 365.
What should I do with old Exchange server so that it doesn't interfere with O365?
Can I just shut it down and forget about it?

Please help...
